As a User of the Website, you agree to the following Terms and Conditions which govern your continued use of the Services. By accessing this website we assume you accept these terms and conditions. Do not continue to use PressCookie if you do not agree to all of the terms and conditions stated on this page.

In registering to use the Services offered by PressCookie, through www.presscookie.com and/or

www.presscookie.nl. and/or www.presscookie.co.uk (together the “Website”) you, as a User of the Website, agree to the following Terms and Conditions which govern your continued use of the Services.

www.presscookie.com is a Subscription Service Site.

www.presscookie.com is a website for the use of the members of PressCookie. A platform designed to foster a connection between the “Press” and the Handmade Entrepreneur / Small Creative Businesses; “Client”. We also have once-of payment products available. The scope of your access to the site is dependent upon the type of membership you have. Pre-approval, as determined by PressCookie in its sole discretion, is required.

Definitions

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements. Any use of the above and below terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

The two (2) types of memberships are defined as follows:

1.Press member means those people who have registered with PressCookie to access the Client Material to source products and information to be published in their various media outlets. You must be a journalist, blogger, influencer or content creator. To become a Press member you will register on our website currently at: https://presscookie.com/press-member-registration via which you can then post Press Requests which will be made available to our Clients via our website and by email and have access the Press Kit Profile and photos of our Clients with ready to use high resolution images if so required ready for download. Please note that PressCookie reserves the right, in its sole discretion, to reject or deny any submitted queries. In posting Press requests you must follow PressCookie’s guidelines for requests, currently available at https://presscookie.com/simple-rules-press as may be updated from time to time. Please note that PressCookie reserves the right, in its sole discretion, to reject or deny any submitted queries.

2. Client means you are a person, entity or represent a person or entity that has subscribed to our services offered currently at: www.presscookie.com/pricing who makes use of our Subscription Services Offered as further explained in (1.). The Client who has subscribed to our subscription service will have a Press Kit Profile Page on our site with a collection of ready to use images and links to be used by the Press members for their various media publications. In joining Press Cookie as a Client / Trialist you must follow PressCookie’s guidelines, currently available at https://presscookie.com/simple-rules-cookies as may be updated from time to time.

  • Agreement means the agreement concluded between PressCookie and the Client whereby PressCookie will provide the Client with the Services for the duration of any Trial Period and/or Subscription Period as the case may be and in accordance with these Terms and Conditions;

  • User means the person, company or other legal entity which is entering into this Agreement with PressCookie and has supplied the information requested by PressCookie when registering to use the Services;

  • Client Material means any and all visual content and textual material in electronic form or otherwise provided by the Client to PressCookie under the Agreement and in accordance with these Terms and Conditions, including but not limited to photographs, pictures, text, logos, trademarks, trade names, pdfs and press releases;

  • Collaboration Requests means the service provided by PressCookie whereby notices are sent from a client to the Client Database via the Website and Email requesting network opportunities for example; to work together on a styled shoot or giveaway.

  • Commencement Date means the date of commencement of the Subscription Period, being: (i) the date set out on the Order Form or the date of submission to PressCookie of the Online Registration Form (as applicable); or (ii) the expiry of any applicable Trial Period;

  • Press Kit Profile Page means the service provided by PressCookie whereby Clients are provided with an area on the Website where they may display Client Material and which Press members may access and download such Client Material from time to time;

  • Initial Term means the period starting on the Commencement Date and continuing for: (i) a period of twelve months; or (ii) a period of 30 days, depending on the payment period selected by the Client. For the avoidance of doubt the Initial Term shall not comprise any Trial Period;

  • Intellectual Property Rights means all intellectual property rights and moral rights of any nature whatsoever throughout the world and for the full duration of any and all protection afforded to the same including, without limitation, all: patents, registered trade marks, service marks, copyright, performance rights, designs and any and all applications for registration of any of the same wheresoever made; and all unregistered trade marks, service marks, designs, design right and copyright; and databases, know how, trade secrets and confidential information howsoever arising; and computer software and any right or interest in any of the foregoing;

  • Press Request means the service provided by PressCookie whereby notices are sent from Press members to Clients via the Website and Email requesting further information and relevant content in relation to articles Press members may be researching and/or writing;

  • Liabilities means all costs and expenses, losses, damages and adverse effects resulting from any and all allegations, claims, judgments, causes of action, liabilities, obligations, damages, deficiencies, penalties, interest and expenses (including the reasonable fees and expenses of solicitors and other professionals and specialists);

  • Payment means all fees payable by the Client to PressCookie in respect of the Services during the Subscription Period and Once Off products in accordance with the amounts specified on the Order Form or Online Registration Form (as applicable), as amended during the Subscription Period or as otherwise agreed between PressCookie and the Client from time to time;

  • Online Registration Form means the form completed and submitted online by Users in order to subscribe for the provision of all or any of the Services for the duration of: (i) any applicable Trial Period; and/or (ii) the Subscription Period;

  • Order Form means the order form completed and submitted by Users or invoice submitted by PressCookie to a User in order to subscribe for the provision of all or any of the Services for the duration of: (i) any applicable Trial Period; and/or (ii) the Subscription Period;

  • Celebrations Calendar means the service provided by PressCookie whereby alerts are sent by PressCookie to Clients indicating upcoming key dates and suggested press release topics relating to such key dates;

  • PressCookie means a company incorporated in the Netherlands with registered number 68855648 whose registered office is at Kerkweg 154, Santpoort-Noord, 2071NH, The Netherlands;

  • Press Releases means the service provided by PressCookie whereby Press releases containing Client Material are held on the Website and distributed to selected Press Users via email;

  • Services means, subject to clause (1.) the services: (i) selected by the Client in the Order Form or Online Registration Form (as applicable), as updated from time to time during the Subscription Period; and/or (ii) ordered by the Client on a one-off basis. These are described more fully on the Website. These include, but are not limited to, Press Kit Profile Page, Press Releases, Press Requests, Celebrations Calendar and Collaboration Requests.

  • Subscription Period means the period commencing on the Commencement Date and continuing for the duration of the Initial Term and thereafter for subsequent periods equal in length to the Initial Term unless and until terminated by either party in accordance with these Terms and Conditions during which the Client shall pay the Fees;

  • Terms and Conditions means these terms and conditions;

  • Starter Cookie means any Client invited by PressCookie with a promotional code or hyperlink by PressCookie for the purposes of registering for a Trial Period;

  • Trial Period means the free trial period during which PressCookie may offer the Services to Subscribers free of charge, such period to commence at such time as the Trialist signs up for such Trial Period via the Website;

  • Unacceptable Content means any material of any nature which is or which contains (a) any errors, bugs, viruses, worms, trojan horses or other contaminants that may (i) be used to access, modify, delete or damage any data files or other computer programs, computer hardware, software, telecommunications and other services and facilities used or operated by PressCookie ; or (ii) cause a material adverse effect on the operating of any such hardware, software, telecommunications and other services and facilities used or operated by PressCookie ; or (iii) provide access to any errors, bugs, viruses, worms, trojan horses or other contaminants; or (b) anything which is or may be offensive, blasphemous, obscene, defamatory or otherwise unlawful, which may infringe the rights including the Intellectual Property Rights of any person or which is used, disclosed or provided by the Client in breach of any obligation which the Client may have to any third party including any obligation of confidentiality; and

  • Website means the website with the domain names www.presscookie.com and www.presscookie.nl and www.presscookie.co.uk

1. PressCookie Services
  • PressCookie shall provide the Services as relevant to your Trial Period and/or Subscription Period (as applicable) subject to these Terms and Conditions.

  • PressCookie reserves the right to amend or withdraw any or all of the Services from time to time in its sole discretion.

  • PressCookie does not guarantee that all Press Members will be able to view the entire content of emails sent using the Press Releases or Collaboration Alerts services due to spam filters and various email clients.

  • PressCookie reserves the right, in its absolute discretion, not to publish press releases using the Press Releases services or notices using the Collaboration Request services if any such content is not deemed to be appropriate or current.

  • Press releases published using the Press Release service must be no older than 7 days.

  • PressCookie reserves the right to edit the relevant categories and key words selected for Collaboration Requests, Press Releases and Images.

  • PressCookie cannot guarantee the authenticity of email requests received by Clients via the Press Requests service and Users respond to such requests at their own risk.

  • Press Requests, Collaboration Requests and Celebrations Calendar email alerts are the copyright of PressCookie. Should the content of these emails be replicated in any way or forwarded to other persons, the person to whom the email address forwarding such content is registered will be in breach of copyright.

  • Clients may be contacted from time to time by Press members via the email they have provided. PressCookie cannot guarantee the authenticity of such email requests received by Clients and Clients respond to such requests at their own risk.

  • PressCookie is not responsible for the contents of any communication between Clients and Press members (including but not limited to any agreements arising out of a Press member’s response to a Collaboration Requests) and is not responsible for any negotiations between Clients and Press members as part of the Collaboration Request service. Clients and Press members acknowledge and agree that it is their responsibility to enter into separate agreements with each other as part of the Collaboration Request service and PressCookie will have no liability to Clients or Press members in respect of any agreement reached in respect of Collaboration Requests.

2. Client Material
  • The Client shall submit Client Material to PressCookie .

  • The Client shall not submit Client Material to PressCookie nor publish any content on the Website which is or gives access to Unacceptable Content.

  • PressCookie may refuse any Client Material which may in PressCookie’s sole discretion be Unacceptable Content or breaches any law or regulation, these Terms and Conditions, any other terms agreed between the parties or any third party’s rights, including Intellectual Property Rights. Notwithstanding the foregoing, nothing in this Clause is to imply that PressCookie monitors the Client Material, and the Client hereby acknowledges that PressCookie does not actively monitor the Client Material.

  • The Client will regularly monitor and keep all Client Material accurate and up to date. PressCookie may refuse, remove or update such content if it is deemed, in PressCookie’s sole discretion, not to be appropriate for inclusion.

  • Under this Agreement, the Client has the right to remove and submit any content at any time subject to the availability of the computer systems on which PressCookie is deployed but the Client acknowledges and agrees that PressCookie shall not be responsible for any failure of the Website or error or other fault out of PressCookie’s control which may lead to downtime.

  • The Client agrees that PressCookie has the right to send Client Material and links to Client Material to Press members.

  • The Client acknowledges and agrees that when PressCookie provides a caption for the Client Material PressCookie shall not be liable for any damage or loss suffered by the Client as a result of posting such caption, whether, without limitation, the information provided is inaccurate, misinterpreted by the reader or otherwise.

  • For PR agencies signing the Agreement as a Client, Client Material can only be added from companies who are employing such PR agency’s services. PressCookie reserves the right to request to view contracts between PR agencies and companies at any time. Should PressCookie be under any doubt, PressCookie reserves the right to refuse membership to PR agencies and refuse permission for companies’ Client Material on the Website.

3. Client Responsibilities

You agree that you:

  • are responsible for maintaining the confidentiality of your login and membership account and your use of the Service, and are fully responsible for all activities that occur, and content posted, under your account with or without your knowledge;

  • will not share your login with anyone else;

  • will not share any confidential or privileged information received from the Service with any third parties;

  • will not use information received from the Service, such as Press member contact information, to help vendors pitch clients or, if a Client to contact Press members based upon the information obtained from the Service for any reason other than to specifically respond with relevant information to Queries;

  • will not falsely state, impersonate, or otherwise misrepresent your identity, including but not limited to the use of a pseudonym, or misrepresenting your current or previous positions and qualifications, or your affiliations with a person or entity, past or present; and,

  • will not upload, post, email, transmit or otherwise make available any content or initiate communications which include information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships.

4. The Rules of PressCookie are
  • Clients will receive maximum one email a day with requests from our Press Members. Scan the emails, and if any of the requests are fitting, please answer the Press member directly through the contact address supplied in the request.

  • Do not spam our Press members with off-topic pitches in response to their queries.

  • You’re not allowed to harvest any Press Member information provided in the PressCookie emails for any reason.

  • Reply to Press Requests with complete and relevant answers to their questions, please include a short bio and your contact information. Do not reply to Press Request with incomplete information or sentences like “Would love to chat about this”.

  • It is your responsibility to make sure that you images and information is up to standard.

  • Add your PressCookie Press Kit link in the response to the Press member so that they have easy access to your high res images and other information. Example: www.presscookie.com/user/yourusername

  • If you are replying to a source request on behalf of your client, directly reply with your client’s response. Do not reply solely with “My client can speak about this.”

  • Do not include attachments in your reply to a Press request in order to protect Press members from viruses.

  • If you have relevant supplemental information that is helpful to the story, use a service like Dropbox to send links or make sure that you include the link to your Press Kit page for the Press member in your pitch.

  • Anonymous” queries are often larger outlets that choose to anonymize their listing to alleviate spam or deter story poaching. Reply to these queries as detailed above.

  • Media professionals are encouraged to perform additional due diligence prior to pitching.

  • Be great to each other.

You understand that you may not:

  • modify, adapt or hack the Service or modify another website so as to falsely claim or imply that it is associated with the Service, www.presscookie.com

  • reproduce, duplicate, copy, sell, resell or exploit any portion (including, without limitation, the contents of the PressCookie email or similar notification, the look and feel of the PressCookie website, and the contents of the web pages of the Service, use the Service or access the Service without the express written permission of PressCookie

  • verbally, physically, or otherwise abuse a PressCookie employee, agent or officer;

  • upload, post, host, or transmit unsolicited email, SMSs, or spam messages;

  • transmit worms or viruses or any code of a destructive nature;

  • as a Client, utilize the information provided in a Query other than to provide a relevant response to a Specific Query posted by a Press Member;

  • violate the RULES of our country or your local laws or regulations; or,

  • plagiarize, violate or otherwise infringe upon the trademark, copyright, patent, trade secret, or any other rights of any person, firm or entity, expressly including but not limited to libel, slander or invasion of rights of privacy, publicity or “moral rights”.

Further, you:

  • are solely responsible for your interactions with other members. As a Client you will only contact the Press Members with relevant responses to specific Queries. We reserve the right, but have no obligation, to monitor and/or mediate disputes between you and other members;

  • are solely responsible for the content or information you transmit to other members.

  • agree that PressCookie has no responsibility or liability for the deletion, corruption or failure to post, store and/or forward any messages or other content (and/or to do so in a timely manner), including without limitation Query materials maintained or transmitted by the Service.

5. Press Member Responsibilities
  • You will only use the Client Material and Services for journalistic purposes (which, for the avoidance of doubt, includes hard copy print publication, online publication, blogging, vlogging and social media posts and shares), and you will not infringe the Intellectual Property Rights of any Client by using the Client Material in any other way other than in accordance with these Terms and Conditions;

  • You will not use the Client Content and Services in any way which may prejudice or diminish PressCookie’s or the Client’s reputation or business;

  • When providing us with information when using the Services, such information (including details of where your work is or will be published) is true and accurate to the best of your knowledge and belief;

  • You will provide full and correct captions to accompany the Client Content and attribute the Client Content accordingly;

  • You will not modify, amend, alter to change any aspect of the Client Material and you acknowledge that we are supplying the Client Material to you on the same basis as the Client is providing it to us, although you may crop the images for journalistic purposes providing the Client Content does not become or give access to Unacceptable Content; and

  • You will not use the Client Material and Services in association or connection with Unacceptable Content, nor will you publish any content on the Website which is or gives access to Unacceptable Content

  • PressCookie may suspend or terminate your use of the Services immediately if they discover or reasonably suspect that you have breached any of these warranties or any other terms of these Terms and Conditions

  • You will indemnify and keep PressCookie indemnified against any Liabilities incurred directly or indirectly related to or resulting from: (i) your use of the Client Material (including any of the Client’s Intellectual Property Rights contained therein),

6. License to use

By supplying Client Material to PressCookie the Client hereby grant PressCookie a non-exclusive and irrevocable license to use, reproduce, edit and authorize others to use, reproduce and edit any of the Client Material submitted in any and all forms, in any way which PressCookie deems fit, including but not limited to storage, retrieval, copying, modification, transmission, publication and making available to others, either electronically or by any other means. This license includes use by PressCookie of the Client’s trade name and any of the Client’s trade marks which relate to the Client Material, and includes use by PressCookie of the Client Material, trade names and trade marks for the promotion of its own services for the duration of the Agreement between PressCookie and the Client. The Client also acknowledges that Press members will be accessing the Client Material and thus grants to Press members an irrevocable, perpetual non-exclusive license to enjoy the Client Material in accordance with the services provided to them by PressCookie. This clause applies only for the duration of the Agreement.

7. Payment
  • The Client shall pay the Subscription Fees for the whole of the Subscription Period. For the avoidance of doubt, no Fees shall be payable for any Trial Period.

  • The Subscription Fees may be modified at any time upon at least 15 days’ prior notice to the Client in writing, online or otherwise.

  • Subscriptions Fees are payable in advance in such installments as are specified in the Order Form or Online Registration Form (as applicable). The Client may elect to pay the Subscription Fees online by iDeal, credit card or via PayPal.

  • Once Off Products can be purchased on a once-off basis even if the Client is not subscribed. However, some form of registration is always needed. If the person purchases the once off products only the payment must also be made by online by iDeal, credit card or PayPal.

  • Once off services, like Press Releases, Interviews and Collaboration Requests can also be purchased in addition to a subscription if these extra services are required and not included in the subscribed package.

  • If the Client fails to pay any charges when due then PressCookie shall be entitled at its discretion to remove Client Material from the Website in respect of the non-paying Client.

  • All Subscription Fees are exclusive of value added tax (VAT) which may be added to the Subscription Fees as appropriate and depending on the Country of Residence.

  • Without prejudice to any other right or remedy that PressCookie may have, if the Client fails to pay the Subscription Fee or any other amount due hereunder by the due date, PressCookie will suspend all Services until all amounts due are paid in full; or terminate this Agreement with immediate effect.

  • Regardless of how payments are described by the Client, PressCookie shall allocate payments made by the Client towards the oldest debt currently due followed by statutory interest, late payment fees and debt recovery charges on such debt.

  • No forbearance or indulgence by PressCookie shown or granted to a Client whether in respect of these Terms and Conditions or otherwise, shall in any way affect or prejudice the rights of PressCookie against the Client or be treated as a waiver of any of these Terms and Conditions.

  • The Client shall pay the Subscription Fees and any other charges, fees or interest applicable hereunder without any right of set -off or deduction against alleged amounts due to the Client.

  • PressCookie may, without prejudice to any other rights it may have, set off any liability to the Client against any liability of the Client to PressCookie.

8. Warranties, Indemnities and Liability
  • The Client represents, undertakes and warrants that it is and will remain to be the holder of any and all Intellectual Property Rights, consents, licences and other rights needed to display the Client Material on the Website and lawfully grant the licences granted in these Terms and Conditions, and that PressCookie’s actions under those licences will not infringe upon any law, regulation, other agreement or third party’s Intellectual Property Right or other right.

  • The Client shall at any time, at PressCookie’s request, provide written proof of the rights and/or licences.

  • The Client shall indemnify and keep PressCookie indemnified against any Liabilities incurred directly or indirectly related to or resulting from: (i) the Client Material, (ii) the use by PressCookie of the Client Material, the Client’s trade name(s) and trade marks used in accordance with these Terms and Conditions, (iii) a breach of any of the Client’s obligations in these Terms and Conditions (including the obligation to keep Client Content accurate and up to date), (iv) the need to commence court proceedings against the Client as a result of non-payment of Subscription Fees or other amounts due hereunder, on a full indemnity basis.

  • Notwithstanding any other Clause in these Terms and Conditions, neither PressCookie nor the Client excludes any liability for death, personal injury or fraud (including fraudulent misrepresentation).

  • PressCookie shall not be liable for (i) any loss of or damage caused to the Client as a result of the Client Material; (ii) any loss or damage resulting from inaccuracy or insufficient quality of the Client Material; (iii) any indirect or consequential loss or damage resulting from a failure by PressCookie to provide or fully provide or timely provide the Services; (iv) any indirect or consequential loss or damage caused by use of Client Material by Press members; or (v) any acts of any third parties including, but not limited to, any failure by a Press member to fulfill any conditions negotiated between the Client and such Press member in relation to a Collaboration Notice.

  • Any liability of PressCookie shall be limited to the amount paid by the Client in consideration of the Services provided by PressCookie in the calendar year of the event giving rise to the Client’s claim.

  • PressCookie cannot guarantee a photo credit in any instance, and will not be held liable if a photo credit is not made, nor can PressCookie guarantee that, if a photo credit is made, it will show the Client’s name.

  • PressCookie shall have the right, including in advertising and publicity in any media, to use the name of any Client to advertise and promote the Services and/or the PressCookie brand.

  • Part of the PressCookie service to Press Members allows them to crop and alter the Client Material for their journalistic (including, but not limited to, blogging and vlogging) purposes. The Client hereby grants to the Press the right to alter their images providing they do not become or give access to Unacceptable Content and the Client undertakes that the person who created the Client Material has waived all moral rights in respect of use of the Client Material pursuant to these Terms and Conditions by PressCookie and its Clients.

  • PressCookie cannot guarantee that Press Members are journalists (or bloggers or vloggers).

  • PressCookie cannot guarantee that Press Members will use the Client Material for journalistic (including, but not limited to, blogging and vlogging) purposes.

  • PressCookie shall also have no responsibility or liability for any content created or posted by you or other third parties, as either a Press Member or as a Client.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE USE OF THE SERVICE.

THE SERVICE IS PROVIDED ON AN “AS-IS”, “AS AVAILABLE” BASIS. PRESSCOOKIE, ITS AFFILIATES, AGENTS, AND LICENSORS, CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, NONINFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OF THE INFORMATION AVAILABLE THROUGH THE SERVICE, OR THE SERVICE ITSELF. PRESSCOOKIE, ITS AFFILIATES, AGENTS AND LICENSORS MAKE NO WARRANTIES, EXPRESS OR IMPLIED (INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND TITLE, AND ANY AND ALL IMPLIED WARRANTIES ARISING FROM STATUTE, COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE), REGARDING THE SERVICE OR THE INFORMATION AVAILABLE THROUGH THE SERVICE. PRESSCOOKIE DOES NOT WARRANT OR REPRESENT THAT THE SERVICE WILL BE FREE FROM ERRORS, INCLUDING OMISSIONS, INTERRUPTIONS, DELAYS, LOSSES OR DEFECTS, WHETHER HUMAN OR MECHANICAL.

9. Force Majeure

PressCookie shall not be liable for any loss or damage resulting from a failure by PressCookie to perform its obligations under these Terms and Conditions, if such failure is a result of an unforeseen event which is beyond the control of PressCookie and cannot be reasonably avoided or counteracted. This includes, but is not limited to: acts of terrorism, fire, flood, earthquake, explosion, riot, strike, labour troubles, lockouts, transport restrictions, failure or delay of delivery by any supplier, war, regulations and measures of any governmental or local authority, accident or theft, technical malfunctioning of systems which are part of the internet, technical malfunctioning of the infrastructure for telecommunication, electricity failure, or stoppage of output in or at PressCookie’s systems. Should any such event occur, PressCookie may at its own option cancel or suspend the Agreement with the Client without incurring any liability.

10. Term and Termination
  • In the case of any Subscription Period, the Agreement between PressCookie and the Client will remain in force until it is terminated by either party in accordance with these Terms and Conditions.

  • In the case of any Trial Period, the Agreement shall terminate immediately upon expiry of such Trial Period.

  • Without prejudice to any statutory rights, each of the parties shall have the right to terminate the Agreement, either in whole or in part, with immediate effect and without prior notice, in the event that and at such time as: (i) the other party is in material breach of the these Terms and Conditions and, if remediable, the party fails to remedy the breach within 7 days; (ii) the other party enters liquidation (except for the purposes of financial restructuring), is unable to pay its debts or reaches an agreement with its creditors to pay only part of its debts; (iii) the other party files for bankruptcy or is declared bankrupt; (iv) the other party is a legal entity which is dissolved; or (v) where the other party suffers an analogous event to (ii) to (v) above.

  • Any termination of the Agreement shall be without prejudice to any other rights or remedies a party may be entitled to under the Agreement or these Terms of Conditions or at law and shall not affect any accrued rights or liabilities of either party nor the coming into or continuance in force of any provision hereof which is expressly or by implication intended to come into or continue in force on or after such termination.

  • Without prejudice PressCookie has the right to suspend your use of the Services immediately where you breach (or where PressCookie suspects you may have or will breach) any of these Terms and Conditions, or where PressCookie suspects that you have caused or may cause liability to PressCookie.

11. Cookie Credit Program

You can earn Cookie Credits whilst purchasing our products, or if you invite someone to join PressCookie and they complete the process of either:

  •  subscribing to one of the PressCookie packages (as a handmade or artisan business)
  •  purchasing a once off PressCookie product (as a handmade or artisan business) 

Please keep in mind that the people you refer need to purchase directly from your referral link in order for you to receive Cookie Credits. If someone navigates away from the link or switches browsers, this visitor will not be registered as coming directly from your invite. If a member has already registered with PressCookie, the promotion cannot apply. 

  • You can participate by inviting people to visit PressCookie via email or by sharing your referral link on Facebook, Twitter, or through any other source.
  • You may use your Cookie Credits towards purchases of our once off products, for example interviews, press releases or collaboration requests.

  • Your Cookie Credits will be applied as a discount. Additionally, Cookie Credits cannot be redeemed for cash or its equivalent.

  • Note: Cookie Credits cannot be applied to purchases incurred prior to receiving them.

  • Cookie Credits do not expire. However, you will not be able to use them once an account has been closed.
  • Cookie Credits are not transferable between accounts, even those belonging to the same member.
  • You may refer as many people as you like. This program is intended to bring new members into our community. You may not use this promotion to fraudulently give yourself Cookie Credits in another account. Doing so will be considered a form of ‘shilling’ and appropriate action will be taken.
  • When someone you have referred completes all of the steps to register or purchase with PressCookie, you will get an email notifying you that you have earned Cookie Credits. You will see the number of Cookie Credits available in your account
12. E-mail and Public Communications

You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.

Registration data and other information about you are subject to Press Cookie’s Privacy Policy, available at www.presscookie.com/privacy. If you are located outside the Netherlands, by subscribing to any PressCookie’s service you consent to your data being sent to the Netherlands and transmitted, stored and utilized pursuant to the provisions of Dutch law.

15.Cancellation/Refund Policy

We aren’t able to offer refunds at this time or prorated amounts for unused time left on a package subscription or on any digital once-off products.

16. Trademark and Copyright Protection; Patent Pending

We claim no intellectual property rights over the material you provide to PressCookie via the Service. Any data you upload whose copyright is your own, remains yours. You may not duplicate copy or reuse any portion of the HTML, PHP, CSS, JavaScript, or visual design elements or concepts without express written permission of PressCookie.

17. Backups

While www.presscookie.com maintains backups of its servers, it cannot warrant or represent that such backups will provide full or partial coverage of the Client Material. Accordingly, you must maintain backups of any Client Material.

18. Reservation of Rights

We reserve the right to request that you remove all links or any particular link to our Website. You approve to immediately remove all links to our Website upon request. We also reserve the right to amen these terms and conditions and it’s linking policy at any time. By continuously linking to our Website, you agree to be bound to and follow these linking terms and conditions.

19. Removal of links from our website

If you find any link on our Website that is offensive for any reason, you are free to contact and inform us any moment. We will consider requests to remove links but we are not obligated to do so or to respond to you directly.

23. Miscellaneous
  • Any database rights regarding any collection of Client Material or arising out of any of the Services provided hereunder shall vest with PressCookie.

  • PressCookie may sub-license, subcontract or assign all or any part of its rights and obligations under the Agreement without Client’s prior consent. Client shall not assign its rights or obligations under the Agreement without PressCookie s prior written consent.

  • These Terms and Conditions supersede any prior terms and conditions which may have been applicable between the parties although the Client acknowledges that PressCookie reserves the right to amend these Terms and Conditions at its sole discretion on providing the Client with notice of the same. These Terms and Conditions were last updated on the 26th of March 2020.

  • Unless specifically agreed between the parties, these Terms and Conditions constitute the whole agreement between the parties to its subject matter.

  • The Agreement and these Terms and Conditions (and all matters whether contractual or otherwise) shall be governed by and construed in accordance with the laws of the Netherlands and the parties hereby irrevocably submit to the exclusive jurisdiction of the courts of the Netherlands as regards any claim or matter arising in relation to this Agreement or these Terms and Conditions.
